PROVIDENCE, R.I. (August 27, 2008) -- Thousands of Limited Liability Companies (LLCs) doing business in Rhode Island have two months to file annual reports with the office of Secretary of State A. Ralph Mollis.
State law requires LLCs to report the names and contact information of their managers among other information from Sept. 1 to Nov. 1. Each of the thousands of LLCs that are registered to do business in Rhode Island is subject to the requirement.
“Filing an annual report demonstrates your commitment to openness. And that can give people thinking of doing business with you more confidence,” said Mollis.
For the first time, you no longer have to visit the Secretary of State's Providence office in order to file. Thanks to improvements to Mollis' website, you now can file electronically.
Simply visit www.sec.state.ri.us/corps and click on the new “File Annual Reports Online” link. Every LLC has been assigned its own unique Customer Identification Number and Personal Identification Number order to ensure security.
“We no longer operate in a 9-to-5 world. I am committed to using technology to make it easier to do business in Rhode Island. Now we are open seven days a week, 24 hours a day from anywhere in the world,” said Mollis.
You can still choose to file by mail or in person at the Secretary of State's 148 West River St. location in Providence. All you have to do is download the forms from Mollis' website.
Failure to file an annual report can result in the revocation of LLC's Certificate of Organization or Certificate of Registration. Those certifications provide companies with the legal basis for conducting a variety of business-related activities in Rhode Island such as direct sales. In addition, state law assesses a $25 penalty for late filing.
